1. Acceptance of Terms
These Terms of Service ("Terms") form a legally binding agreement between you and Orbit Socials (ABN 68 101 267 372) ("Orbit Socials", "we", "us", or "our") governing your use of the platform at www.orbitsocials.com (the "Platform").
By creating an account or using the Platform in any way, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
We may update these Terms from time to time. We will notify you of material changes by email or in-app notice. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
2. Eligibility
You must be at least 18 years old to use the Platform. By creating an account, you confirm that you are 18 or older and that all information you provide is accurate and truthful.
If you are registering on behalf of a company or organisation, you confirm that you have authority to bind that entity to these Terms.
3. Account Types
There are two types of accounts on the Platform:
- Creator accounts are for individual content creators. Creators can list their profile, apply for orbits posted by companies, submit content links as proof of delivery, and receive payments via Stripe Connect once a company processes payment.
- Company accounts are for brands and businesses. Companies can post orbits, send direct orbit offers to specific creators, review submitted content, and process payment to the creator once they are satisfied with the delivery.
You may only hold one account on the Platform — you cannot hold both a creator and a company account. You may not use another person's account or create an account on behalf of someone else without their authorisation.
4. How Orbits Work
An "orbit" is a paid content collaboration between one company and one creator. The process works as follows:
- Posting or direct offer: a company either creates a public orbit specifying the content requirements, deliverables, payment amount (in AUD), and any other terms — or sends a direct orbit offer to a specific creator from their profile page.
- Applying and selection: creators can apply to public orbits. When a company selects a creator, that creator is automatically confirmed and the orbit begins. For direct offers, the creator is selected from the outset.
- Deadline: an orbit may include a deadline by which the creator must submit their content.
- Content creation: the creator produces the agreed content and publishes it on the relevant platform(s).
- Submission: the creator submits a link to the published content through the Platform as proof of delivery.
- Review and payment: the company reviews the submitted content. If satisfied, the company processes payment through the Platform. Payment is only triggered manually by the company — Orbit Socials does not charge companies automatically.
- Payout: once payment is processed, the creator's agreed amount is transferred to their connected Stripe account.
Because payment occurs after the creator has submitted their content, companies pay only for work they have already reviewed and chosen to approve. All payments processed through the Platform are final.
5. Payments and Platform Fees
All payments on the Platform are processed in Australian Dollars (AUD) through Stripe. By using payment features, you agree to Stripe's Terms of Service.
Platform fee: when a company processes a payment to a creator, Orbit Socials charges a platform fee on top of the agreed deal amount. The fee is calculated as follows:

The platform fee is charged to the company in addition to the deal amount. The creator receives the full agreed deal amount. For example, if the deal is $1,000 AUD, the company pays $1,080 AUD ($1,000 + 8% fee) and the creator receives $1,000 AUD.
Orbit Socials may offer custom fee rates to certain accounts (such as referral partners). Any custom rate applicable to your account will be clearly shown before payment.
All payments are final. Because companies review submitted content before choosing to process payment, we do not offer refunds once a payment has been completed. If you believe a payment was processed in error (for example, due to a technical fault), contact us at harrison.orbit@gmail.com and we will investigate.
Creator payouts: creators must connect a Stripe account to receive payments. Orbit Socials is not responsible for delays caused by Stripe's onboarding, verification, or payout schedules. Stripe's standard payout timelines apply.
Stripe also charges its own processing fees, which are separate from the Orbit Socials platform fee.
6. Creator Responsibilities
As a creator, you agree to:
- Only apply to orbits you genuinely intend to complete.
- Produce content that meets the requirements specified in the orbit.
- Submit an accurate link to your published content — not placeholder, private, or unrelated content.
- Disclose paid partnerships in your content in accordance with the laws and platform guidelines of the social media platform(s) you publish on (for example, using #ad or #sponsored tags where required).
- Ensure your profile information, follower counts, and audience data are accurate and up to date.
- Not engage in follower or engagement fraud (purchased followers, bots, artificial engagement).
7. Company Responsibilities
As a company, you agree to:
- Provide clear, accurate orbit requirements so creators know exactly what is expected.
- Only process payment if the creator has genuinely met the stated requirements — not withhold payment for reasons unrelated to the deliverables.
- Not use the Platform to source creators and then move the collaboration off-platform to avoid fees (see section 10).
- Ensure your company name and business details are accurate.
Companies are responsible for ensuring that any content they commission complies with applicable advertising and consumer law (including Australian Consumer Law and equivalent laws in other jurisdictions).
8. User Content
You retain ownership of any content you create, upload, or submit through the Platform, including profile photos, posts, and orbit submissions.
By posting content on the Platform, you grant Orbit Socials a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute that content for the purpose of operating and promoting the Platform (for example, showing your profile to other users or featuring your work in marketing materials). You can withdraw this licence by deleting your content or closing your account.
You are responsible for ensuring you have the rights to any content you post, including images, music, and third-party material.
9. Reviews
After a completed orbit, both parties may leave a star rating and written review. Reviews must be honest, accurate, and relate to the specific collaboration. You must not:
- Post fake, fabricated, or incentivised reviews.
- Review a collaboration you were not part of.
- Use reviews to harass, defame, or make false statements about another user.
Orbit Socials reserves the right to remove reviews that violate these rules.
10. Prohibited Conduct
You must not:
- Circumvent platform fees: contact or arrange collaborations with users you discovered through Orbit Socials outside the Platform in order to avoid paying the platform fee. This applies for 12 months after any introduction made through the Platform.
- Misrepresent yourself: create a false identity, impersonate another person or brand, or misrepresent your credentials, follower counts, or engagement.
- Spam or harass: send unsolicited messages, spam, or harass other users through the Platform's messaging system.
- Post illegal or harmful content: upload or submit content that is unlawful, defamatory, obscene, or infringes a third party's intellectual property rights.
- Interfere with the Platform: attempt to hack, reverse-engineer, scrape, or otherwise interfere with the Platform or its infrastructure.
- Multiple accounts: create duplicate accounts to circumvent suspensions or bans.
- Engage in fraud: submit false content links, manufacture fake engagement, or deceive another user about the nature or quality of your work.
Violations may result in immediate account suspension or termination, removal of content, and recovery of any fees avoided.
11. Intellectual Property
The Orbit Socials name, logo, platform design, and all software underlying the Platform are the intellectual property of Orbit Socials and are protected by copyright and other applicable laws. You may not copy, reproduce, or use them without our written permission.
12. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without any warranty of any kind, express or implied. We do not guarantee that:
- The Platform will be available at all times or free from errors or interruptions.
- Any orbit will result in a completed collaboration or payment.
- Any content submitted by a creator will meet a company's expectations, or that any company will process payment.
- Follower counts or audience data provided by creators are accurate (we display what users enter and do not independently verify it).
Nothing in these Terms excludes any guarantee or warranty that cannot be excluded under the Australian Consumer Law.
13. Limitation of Liability
To the maximum extent permitted by law, Orbit Socials is not liable for any indirect, incidental, special, or consequential loss arising from your use of the Platform, including but not limited to loss of revenue, loss of business opportunity, or failure of a collaboration.
Our total liability to you for any claim arising from these Terms or your use of the Platform is limited to the total platform fees paid by you (or on your behalf) in the 12 months preceding the claim.
Nothing in these Terms limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded by law.
14. Indemnification
You agree to indemnify and hold harmless Orbit Socials and its officers from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your use of the Platform, or content you post or submit.
15. Termination
You may close your account at any time through your account settings or by contacting us.
We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraud or abuse, or if required by law. We will attempt to give you notice unless doing so would put us or other users at risk.
On termination, your right to use the Platform ceases. Sections 8 (User Content licence), 10 (Prohibited Conduct — the 12-month circumvention period), 13 (Limitation of Liability), and 14 (Indemnification) survive termination.
16. Governing Law
These Terms are governed by the laws of New South Wales, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of New South Wales for any dispute arising from these Terms or your use of the Platform.
If you are located in the European Union, you may also have rights under applicable EU consumer protection law.
